SHHG Advisory Committee Terms of Reference Composition The Advisory Committee consists of fourteen members, as follows: Eight nominated members: · Chairman (not a member of the County Council) who is also the representative of the Advisory Committee on the Arboretum Trust Board · Vice Chairman (a member of the Hampshire County Council) who chairs meetings of the Committee if the Chairman should be unavailable · Two other Hampshire County Councillors All of the above are appointed or reappointed by the County Council after the four-yearly County Council elections. · A representative of Hillier Nurseries Ltd · Three nominated representatives of professional related organisations, currently: - Royal Botanic Gardens, Kew, - The Royal Horticultural Society - The Forestry Commission The initial term of service of these three nominated representatives is four years with the possibility of an additional term of four years by mutual agreement between the Nominating Body, the Advisory Committee and the Nominee in each case. If possible, only one of these representatives should be replaced in the course of any twelve- month period. · Six coopted members: Each serves for a four- year term with a possible extension, by mutual agreement, of two years under a staggered system, to come into effect from 2009. After completion of two successive terms members will not be eligible for cooption again to the Advisory Committee until a further year has elapsed. The above conditions apply to any member of the Advisory Committee who is co-opted to replace another member who resigns before his/her term has expired. |

Objectives · To provide advice to the Arboretum Trust Board on matters associated with: _ the horticultural development of the SHHG _ the conservational role of the SHHG _ the educational opportunities at the SHHG _ the landscape master plan _ fundraising activities for key projects identified by the Arboretum Trust Board _ the strategic/corporate aims of Hampshire County Council, such as are relevant to the Gardens _ such other matters as may be referred to it by the Arboretum Trust Board · to report to the Arboretum Trust Board (through the Chairman of the Committee) on the outcome of its meetings, minutes of which should be included on the Arboretum Trust Board agenda. · to meet regularly three or four times per year (with the quorum being five members of the Committee). The Arboretum Trust Board meetings should normally be scheduled to take place after each regular meeting of the Advisory Committee · to appoint the Standing Advisory Panel (and such other panels/working groups as may be required to consider specific issues), to agree their terms of reference and to receive their advice Decision Making The Advisory Committee has no formal decision making powers. It provides advice and makes recommendations after each of its meetings to the Arboretum Trust Board via the Chairman. It therefore proceeds by consensus. Legal and Financial liability The Advisory Committee members have no financial or legal liability for SHHG, which falls to the County Council, as sole trustee.
