Registration for Supplier Self Service terms and conditions
Users of the Supplier Self Service are bound by the terms and conditions set out below
Permitted Use
By using Supplier Self Service, you confirm that you accept these terms of use and that you agree to comply with them. If you do not agree to these terms, you must not use Supplier Self Service.
The information you provide is used to register and to create an account (Self-Service Account) for you in our customer relationship management system, and to enable you to access and update information we hold about your business in our financial systems (Supplier Account).
You are authorised (“Permitted Use”) to link your Self-Service Account to our Supplier Account in order to view and update your Supplier Account.
You are responsible and liable for any changes (including any errors, inconsistencies or omissions) made to your details through the Self Service.
You are also responsible for ensuring that all individuals who access our Self Service through your telephone and internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.
Liability
We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
We exclude all implied conditions, warranties, representations or other terms that may apply to our Self Service or any content on it to the full extent permitted by law.
We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
- use of, or inability to use, our Self Service
- use of, or reliance on any content displayed on our Self Service
- loss of profits, sales, business, or revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill or reputation
- and/or any indirect or consequential loss or damage
We will not be liable to you for any payments made to an incorrect bank account as a result of any data entry, change or omission you make though the Self Service. It is your responsibility to ensure correct bank details are uploaded to the Self Service.
Self Service Information
The content on our Self Service is provided for you for the Permitted Use. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.
Although we make reasonable efforts to update the information on our Self Service, we make no representations, warranties or guarantees, whether express or implied that the content on our Self Service is accurate, complete or up to date.
We may update and change our Self Service from time to time to reflect changes to our processes, our users' needs and our business priorities.
Self Service functionality and data
We do not warrant that the functions of the Self Service will be uninterrupted or error free, that defects will be corrected, or that this Self Service or the servers that make it available are free of viruses. We do not warrant that the data transmitted through the Self Service will be uninterrupted, error free or free of viruses.
You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software and other security mechanisms to keep your computer systems safe.
You must not use the Self Service for any of the following:
- Misuse our Self Service by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful.
- Attempt to gain unauthorised access to our Self Service, the server on which our site is stored or any server, computer or database connected to our Self Service
- Attack our site via a denial-of-service attack or a distributed denial-of service attack
- For fraudulent purposes or in connection with a criminal offence or other unlawful activity
- To send, state, publish, use or reuse any material which is offensive, abusive, defamatory, indecent, obscene, threatening or illegal or in breach of any other rights
- To transmit any chain letters, spam letters, or junk email or participate in mischievous or malicious behaviour which causes or may cause damage, annoyance, inconvenience or needless anxiety to Hampshire County Council and its partners, the Self Service or any other member or user of the Self Service
By breaching the above provision, you would be liable under the Computer Misuse Act 1990. We may report any such breach to the relevant law enforcement authorities and in such event we shall provide full-corporation to the relevant authorities. This may lead to the termination of your right to use our Self Service
Intellectual Property Rights and Copying
We are the owner or the licensee of all intellectual property rights in our Self Service, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
You shall not copy, sell, rent, lease, license, sublicense, grant any rights in, transfer, distribute, time-share or otherwise assign to any third party any portion of the Self Service.
You must not permanently store or otherwise copy any Self Service content for wider distribution or commercial gain.
Suspension or withdraw from Supplier Self Service
Access to Supplier Self Service is made available free of charge to suppliers of Hampshire County Council and its partners.
We do not guarantee that Supplier Self Service, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Self Service for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.
Confidentiality and Security
If you are provided with, an User ID, password or any other piece of information, you must treat such information as confidential. You must not disclose it to any third party.
We have the right to disable any User ID or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.
If you know or suspect that anyone other than you knows your User ID or password, you must promptly notify us.
There might be situations that are outside of our control such as malicious activities by third parties. Any transmission via the internet is at your own risk. Once we have received your information, we will use strict procedures and security features to try and prevent unauthorised access and protect your personal and financial data against unlawful processing, accidental loss, destruction and damage.
We will retain your information for as long as the law requires, and in accordance with Hampshire County Council and its partners retention policies.
We may disclose or share information we have collected and processed with a third party if we are under a duty to do so or in order to comply with any legal obligation, or in order to enforce or apply our terms of use and other agreements; or to protect the rights, property, or safety of Hampshire County Council and its partners, our customers, or others. This includes exchanging information with other companies and organisations for the purposes of fraud protection and credit risk reduction.
Uploading content to Supplier Self Service
Any content you upload to Supplier Self Service will be considered non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us and our partners a limited licence to use, store and copy that content and to distribute and make it available to relevant and involved third parties.
You are solely responsible for securing and backing up your content prior to uploading the content to the Self Service.
Privacy
This privacy policy forms part of the terms and conditions of the Self Service. By accessing and using this Self Service, you are expressly consenting to our use and disclosure of your personal information in the manner described in this privacy policy. If for some reason you object to this use and any disclosure of your personal information then please do not register with us or use the Self Service.
Hampshire County Council and/ its partners shall at all times comply with the General Data Protection Regulation (GDPR) as amended and/or its successor.
You shall ensure that the information you submit to us and through the Self Service is accurate and correct. Do not include personal information about third parties unless you have told the individual concerned and they consent to it being supplied.
Third Party and Transfer of Ownership
In the event that you and your business are restructured, including takeover (by phoenix company/companies), merger, acquisition or insolvency, you must notify Hampshire County Council at the earliest opportunity in order for us to assess the impact of such change of control to your business.
General
Any breach of these terms and conditions by you or your business shall entitle Hampshire County Council and its partners to immediately terminate your use of the Self Service and/or this agreement with you without notice.
You may not assign, sub-license or otherwise transfer any of your rights under these terms and conditions. We reserve the right to assign, sub-licence or transfer any obligations under these terms and conditions to a third party. These terms and conditions cannot be varied except in writing by Hampshire County Council and its partners.
If any provision in these terms and conditions is found to be invalid or unenforceable by any authority having competent jurisdiction, such invalidity or unenforceability shall not affect the validity of the remaining provisions of these terms and conditions, which shall remain in full force and effect.
Failure by either party to insist upon strict performance of any provision of these terms and conditions, or the failure of either party to exercise any right or remedy to which it is entitled under these terms and conditions shall not constitute a waiver of that right or remedy and shall not cause a diminution of the obligations established under these terms and conditions.
Headings in these terms and conditions are for convenience only and will have no legal meaning or effect.
Law and disputes
The terms and conditions shall be governed and construed in accordance with the laws of England and Wales and any dispute arising in relation to the Self Service whether on contract or in tort or otherwise shall be subject to the exclusive jurisdiction of the English courts.
